Standard Terms of ServiceIn consideration of matters discussed OnGoing (Ireland) Ltd (“OnGoing”) will have been engaged by the client in agreement with the following terms:Services and Payment1. OnGoing will provide the services as detailed in the job description of any relevant invoice and any other tasks which the parties may agree upon from time to time.
2. Invoices submitted are due as per the terms detailed in the invoice.
3. Any reasonable and necessary expenses occurring, which must have been pre-approved by the client, will be reimbursed within 30 days to OnGoing.Confidentiality and Intellectual Property4. Any data or information relating to the business of the client which would reasonably be considered as confidential will not be disclosed for any purpose by OnGoing either during or after the term of this agreement except as authorised by the client or as required by law.
5. All intellectual property and related material developed or produced under this agreement on behalf of the client will be the sole property of the client.Capacity6. In providing the services under this agreement it is agreed that OnGoing is acting as an independent contractor and not as an employee or partner.
7. Except as agreed from time to time OnGoing will have full control over working time, personnel, and methods used to provide the agreed services.
8. This agreement is non-exclusive and either party is free to engage during and after its term with other parties for the provision of similar services.Law and Acceptance9. This agreement will be governed by the laws of Ireland. Except as required by those laws each party agrees to indemnify and hold harmless the other party in case of any damages arising out of any act of omission.
10. Payment of the associated invoice implies acceptance of these terms of service.
